All services are detailed in individual proposals or contracts (“Project Agreements”). In the case of conflict, the Project Agreement takes precedence.

Project Agreements & Payments

Before beginning any project, both parties must agree on project scope, timelines, and pricing.

You agree to:

  • Pay all invoices on time

  • Provide timely feedback, content, and approvals

  • Ensure all materials you provide are legally owned or licensed

We reserve the right to pause or terminate work for late payments or prolonged lack of communication.

Intellectual Property

Client Materials

You retain full ownership of content, trademarks, and materials you provide (“Client Materials”). You grant us permission to use these solely for completing your project.

Our Work

Upon full payment, you receive the rights to the final deliverables as outlined in your Project Agreement.
We retain ownership of:

  • design process files (unless otherwise agreed)

  • internal tools, templates, and methodologies

  • the right to showcase the final project in our portfolio unless you request otherwise in writing

Revisions & Scope Changes

Revisions and scope limits are defined in your Project Agreement.
Additional work beyond the agreed scope will be billed separately.

Third-Party Tools & Integrations

We will not disclose your confidential information to third parties unless required by law.
You agree not to disclose our internal documents, pricing, or processes.

Confidentiality

Some services may involve third-party tools (e.g., analytics, hosting, CMS).
We are not responsible for:

  • downtime or errors caused by third-party platforms

  • third-party pricing changes

  • issues created by plugins, APIs, or external services not controlled by us

Limitation of Liability

To the fullest extent permitted by law, Tesseract is not liable for:

  • indirect, incidental, or consequential damages

  • loss of data, revenue, or profits

  • issues caused by client-provided content, tools, or third-party services

Our total liability for any claim is limited to the amount paid for the service in question.

Termination

Either party may terminate a project with written notice.
You are responsible for payment of:

  • all completed work

  • any work in progress up to the termination date

No refunds are provided for completed or partially completed work unless stated in the Project Agreement.
